1. Who you are contracting with

These Terms & Conditions ("Terms") govern your access to and use of the Kindred platform and services (the "Service") operated by Kindred ("Kindred", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms.

2. The Service

Kindred provides a childcare benefits platform that connects employers, employees (parents), and childcare providers, including directory browsing, tour requests, and eligibility access codes.

3. Eligibility and accounts

You must be of legal age in your jurisdiction and, if signing up on behalf of an organisation, have authority to bind that organisation. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and keep it up to date.

4. Acceptable use

You must not misuse the Service. In particular, you agree not to:

  • use the Service unlawfully or for fraud, spam, or harassment;
  • infringe intellectual property or privacy rights of others;
  • interfere with security, probe, scan, or attempt to breach the Service;
  • upload malware or attempt to disrupt the Service;
  • scrape or extract data other than through documented interfaces.

5. Intellectual property

Kindred retains ownership of the Service and all related software, documentation, branding, and intellectual property. We grant you a limited, non-exclusive, non-transferable right to access and use the Service within the plan you have selected. You may not reverse engineer, resell, or circumvent technical limits of the Service.

6. Payments, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

7. User content

You retain ownership of content you upload (for example, provider photos, staff bios, messages). You grant Kindred a limited, worldwide licence to host, store, reproduce, and display that content solely to provide the Service.

8. Service availability and warranties

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension and termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, present a security or fraud risk, or repeatedly violate our policies. You may stop using the Service at any time.

10. Liability

To the fullest extent permitted by law, Kindred's aggregate liability arising out of or relating to the Service is limited to the fees paid by you (or your organisation) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation would be unlawful.

11. Indemnity

You agree to indemnify Kindred against third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction where Kindred is established, without regard to conflict-of-laws principles. Disputes will be resolved by the competent courts of that jurisdiction, subject to mandatory consumer protections available to you locally.
